Sierra Club Angeles Chapter - Natural Science Section Bylaws

Article I. Name

The name of this Section will be the Natural Science Section of the Angeles Chapter of the Sierra Club.

Article II. Purposes

The purposes of the Section are:

Article III. Membership

A member of the Natural Science Section is any member of the Sierra Club who subscribes to the Natural Science Section Newsletter.

Article IV. Management

Any member of the Section may run for the Management Committee.

The management of the Section will be vested in five of its members, to be known as the Management Committee.

The officers of the Section will be Chair, Vice-Chair, Secretary, and Treasurer, elected by the Management Committee. The Chair and Vice-Chair shall be elected from the members of the Management Committee. Other officers may be appointed by the Management Committee.

A quorum at meetings will be three(3).

Any matters not dealt with in other sections of these bylaws will be decided by simple majority (more than 50%) of those present and voting at a meeting of the Management Committee.

Article V. Duties of Officers

The Chair will have general supervision of the affairs of this Section and will preside at Management Committee meetings.

The Vice-Chair will act in the place of the Chair in the event of the Chair's absence.

The Secretary will record and keep the minutes of all Management Committee meetings and membership meetings, will attend to correspondence, and do other clerical work as directed by the Management Committee.

As directed by the Management Committee, the Treasurer will prepare an annual budget, maintain a bank account in the name of the Section, keep records of all debits and credits, write checks, present reports at meetings, and submit an annual report to the Angeles Chapter Treasurer.

Article VI. Meetings

At each Management Committee meeting, the date and location of the next meeting will be decided.

Meetings will follow the procedures outlined in Roberts Rules of Order, the most recent edition, as interpreted by the Chair.

Each member of the Management Committee present at the meeting has one vote.

Article VII. Elections

Election for all management positions will be held annually.

Management positions will have a term of one calendar year. Each member of the Management Committee and each officer of the Section will serve until her or his successor is chosen.

Voting will be by mail.

Article VIII. Amendment of Bylaws

Bylaws may be amended by simple majority (more than 50%) vote of the Management Committee meetings. Each proposed amendment must be submitted in advance to the membership, with a notice of the time and place of the Management Committee meeting where the proposed amendment will be considered.

Article IX.

These bylaws become effective upon approval of the Executive Committee of the Angeles Chapter of the Sierra Club.
